DVQO LLC Terms of Use

Please read these Terms of Use ("Terms") carefully before using the services provided by DVQO LLC ("Company," "we," or "us"). These Terms govern your use of the UING web application ("Application") and any related services provided by the Company. By accessing or using the Application, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use the Application.

  1. Use of the Application 1.1 Eligibility: You must be at least 18 years old and capable of forming a binding contract to use the Application. By using the Application, you represent and warrant that you meet these eligibility requirements.

1.2 License: Subject to these Terms, the Company grants you a limited, non-exclusive, non-transferable, and revocable license to use the Application solely for your personal or internal business purposes.

1.3 Prohibited Activities: You agree not to: (a) Use the Application in any unlawful or fraudulent manner or for any purpose not expressly permitted by these Terms. (b) Attempt to gain unauthorized access to the Application or any systems or networks connected to the Application. (c) Interfere with or disrupt the operation of the Application or any servers or networks connected to the Application. (d) Modify, adapt, translate, or create derivative works based on the Application. (e) Reverse engineer, decompile, or disassemble the Application or any part thereof. (f) Remove, alter, or obscure any proprietary notice or identification on the Application.

  1. User Data 2.1 Ownership: You retain ownership of any data or information uploaded or processed through the Application ("User Data"). The Company does not claim ownership over your User Data.

2.2 Data Processing: The Application processes your User Data locally on your browser. The Company does not store or share your User Data with anyone, except as required for processing and executing the Application's functionality.

2.3 Privacy: The Company's use and handling of your User Data are subject to the terms of the Company's Privacy Policy, which can be found on the Application's website.

  1. Intellectual Property 3.1 Company's Intellectual Property: The Application and all related content, including but not limited to text, graphics, logos, images, and software, are the intellectual property of the Company and protected by applicable intellectual property laws. You may not use, copy, or distribute any part of the Application without the Company's prior written consent.

3.2 User Feedback: If you provide the Company with any suggestions, ideas, or feedback regarding the Application ("Feedback"), you grant the Company a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, modify, and distribute such Feedback for any purpose.

  1. Indemnification You agree to indemnify, defend, and hold harmless the Company, its affiliates, directors, officers, employees, and agents from any claims, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Application, violation of these Terms, or infringement of any intellectual property or other rights of any third party.

  2. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APPLICATION, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

  3. Modifications and Termination 6.1 Modifications: The Company reserves the right to modify or update these Terms at any time without prior notice. The updated Terms will be effective upon posting on the Application's website. Your continued use of the Application after the posting of the updated Terms constitutes your acceptance of the modified Terms.

6.2 Termination: The Company may terminate or suspend your access to the Application at any time, with or without cause, and without prior notice or liability.

  1. Governing Law and Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of the state of Delaware, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the use of the Application shall be resolved exclusively through arbitration conducted in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, United States, and the award rendered by the arbitrator(s) shall be final and binding.

  2. Severability If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

  3. Entire Agreement These Terms constitute the entire agreement between you and the Company regarding the use of the Application and supersede all prior and contemporaneous agreements, understandings, or representations.
